Terms of Service

1. About these Terms

These Terms of Service ("Terms") form an agreement between Shareloc B.V., Gerard Doustraat 144-2, 1073 VX Amsterdam, the Netherlands, KvK 42154816 ("Shareloc", "we", "us"), and the business or professional that uses our services ("you").

Services means our website shareloc.io, our platform platform.shareloc.io, the reports and analyses we provide, and our Customized Services. Output means the scores, maps, reports, comparisons, exports and other results the Services generate for you.

You accept these Terms when you create an account, or when you sign an order form, quote or proposal that refers to them (an "Order"). If an Order conflicts with these Terms, the Order prevails. We do not accept any general terms and conditions of yours, unless we have agreed to them in writing.

Business use only. The Services are for businesses and professionals. By using them you confirm that you act in the course of your trade, business or profession and not as a consumer. If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind it, and "you" then refers to that organisation.

2. The Services and our plans

Shareloc provides location intelligence for the Netherlands. Depending on your plan, this includes AI-assisted location scores for addresses and streets, vacant commercial listings and their scores, maps with points of interest, demographic, competition and footfall indicators, permit-fit indications, comparison tools, and reports and exports.

• Free: core features with monthly limits, currently 3 address or street searches with a score and 3 vacant-listing scores per calendar month. The limits that apply are those shown on our plans page.
• Pro trial: every new account starts with a 3-day trial of Pro, with the limits shown at signup. No payment details are needed. When the trial ends, your account moves to Free automatically and nothing is charged.
• Pro and Enterprise: paid subscriptions agreed in an Order. Pro is for one named user. Enterprise can include multiple users and the features set out in the Order.
• Customized Services: bespoke location studies, scoped and priced per project in an Order.

We continuously improve the Services and may change features. We may change the Free plan and its limits at any time. During a paid subscription term we will not materially reduce the core functionality you pay for; if we must, section 9 applies. Coverage and data freshness vary by area. Features marked as beta are provided as they are, to gather feedback.

3. Your account

• Give accurate information when you register, and keep it up to date.
• Each account is for one person. Keep your login details confidential and do not share your account. You are responsible for activity under your account.
• Do not create multiple accounts to get around plan limits.
• Tell us straight away at support@shareloc.io if you suspect unauthorised use of your account.

We may suspend or restrict an account if it is used in breach of these Terms, if it creates a security risk, or if fees are overdue. Where reasonable, we will warn you first and give you the chance to fix the problem.

4. Acceptable use

You must not:

• use the Services in breach of any law or regulation, including data protection law;
• infringe anyone's intellectual property or other rights;
• introduce malware, or try to gain unauthorised access to the Services or test their security without our written permission. Report vulnerabilities to support@shareloc.io;
• interfere with or overload the Services;
• scrape, crawl, bulk-download or otherwise systematically extract data or Output, beyond the export features of your plan;
• use the Services or Output to build, train or improve a competing product or dataset, including AI models;
• copy, decompile or reverse engineer the Services, except where the law expressly allows it;
• resell, sublicense or make the Services available to third parties, except as allowed in section 6;
• present Output as a guarantee from Shareloc, or remove source attributions.

5. Fees and payment

The Free plan and the Pro trial are free of charge. For paid plans and Customized Services, the fees, subscription term, renewal and billing terms are set out in the Order. Unless the Order says otherwise:

• fees are in euros and exclude VAT;
• invoices are payable within 30 days of the invoice date;
• a subscription renews for a period of the same length unless either party cancels in writing at least one month before the end of the current period;
• we may change fees for a renewal period by telling you at least two months before the renewal date;
• fees already paid are non-refundable, except where these Terms or mandatory law provide otherwise.

If you do not pay on time, we will send you a reminder. If payment is still not made, we may charge the statutory commercial interest (Article 6:119a of the Dutch Civil Code) and reasonable collection costs, and suspend access after written notice.

6. Intellectual property and use of Output

Shareloc and its licensors own all rights in the Services, including the software, models, methodology, the compiled databases (including database rights), designs and brand. Nothing in these Terms transfers those rights to you.

We grant you a non-exclusive, non-transferable right to use the Services for your own internal business purposes for as long as your account or subscription is active.

You may use Output for your own decision-making, and share it with your advisers, financiers, landlords, franchisors and business partners in connection with a specific location decision, provided you keep the attribution "Source: Shareloc". You may not publish Output at scale, offer it as a dataset, or redistribute it commercially without our written permission. You may keep Output you saved for your internal records after your subscription ends.

The Services include data from third parties and open sources, such as OpenStreetMap contributors (Open Database License), Statistics Netherlands (CBS) and PDOK/Kadaster. Their licence terms and attribution requirements apply to that data.

If you send us feedback or suggestions, we may use them freely and without obligation to you.

7. Your data and privacy

You keep ownership of the data you enter or upload, such as addresses, listings you add, store data and notes ("Customer Data"). You give us the right to host, process and display Customer Data to provide and support the Services. We may also use it to create aggregated, de-identified statistics that do not identify you, your locations or any individual, to improve the Services.

You confirm that you are entitled to provide Customer Data to us and that doing so does not breach anyone's rights.

Our Privacy Policy explains how we handle personal data. Where we process personal data on your behalf, for example personal data within data you upload under an Enterprise plan, we do so as a processor, and we will enter into a data processing agreement under Article 28 GDPR on request.

You can download your data and delete your account in the platform's account settings. After your account ends, we delete Customer Data in line with the retention periods in our Privacy Policy.

8. Nature of the Output

Shareloc supports location decisions; it does not make them for you. In particular:

• Scores and other Output are estimates produced by statistical and machine-learning models applied to third-party and public data. They are not a guarantee of revenue, footfall, profitability or success.
• Source data can be incomplete, out of date or inaccurate. For example, listings can be withdrawn or changed, and demographic statistics are aggregated and published with a delay.
• Permit and zoning indications are for information only and are not legal advice. Always confirm what is permitted at a location with the municipality, for example in the applicable omgevingsplan.
• Output is not financial, investment, legal, tax or real estate advice. Verify important findings independently and seek professional advice where appropriate.
• Examples, case studies and sample reports on our website are illustrative.

You remain responsible for your decisions, including any decision to sign a lease, buy property or open a location.

9. Availability and changes to the Services

We aim to keep the Services available and working well, but we do not guarantee uninterrupted or error-free operation, unless agreed otherwise in an Order. We may carry out maintenance, which we try to schedule outside business hours.

If we make a change that materially reduces the functionality of a paid plan during its term, we will notify you in advance. You may then end the affected subscription with effect from the date of the change, and we will refund the prepaid fees for the remaining term. We may discontinue the Services, or a plan, with at least 30 days' notice, and will then refund the prepaid fees for the unused term.

10. Confidentiality

Each party will keep the other's non-public business information that it receives in connection with the Services confidential, and use it only for the purposes of our agreement. This includes the locations you evaluate, your Customer Data and the deliverables of Customized Services. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law.

11. Liability

Shareloc is liable only for direct damage resulting from an attributable failure to perform these Terms or an Order. Shareloc is not liable for indirect or consequential damage, including lost profit, lost revenue, missed savings, lost business opportunities, reputational damage, or damage resulting from location, lease or investment decisions taken on the basis of Output.

Our total liability per calendar year is limited to the fees you paid us in the 12 months before the event that caused the damage. If you only use the Free plan or the Pro trial, it is limited to €100.

These limitations do not apply to damage caused by the intent or deliberate recklessness (opzet of bewuste roekeloosheid) of Shareloc's management, or where liability cannot be limited by law.

A claim for damages must be reported to us in writing within 12 months after you became aware, or could reasonably have become aware, of the damage. After that, the claim lapses.

We are not liable for failures caused by circumstances beyond our reasonable control (force majeure), such as outages of hosting, internet or data providers, or cyberattacks despite reasonable security measures.

12. Indemnity

You indemnify Shareloc against third-party claims arising from your breach of section 4, or from Customer Data that infringes the rights of others, including reasonable legal costs.

13. Term and termination

• Free accounts: you can stop using the Services and delete your account at any time. We may end a Free account with reasonable notice, or immediately in case of serious misuse.
• Paid subscriptions: these run for the term in the Order. Either party may terminate in writing if the other materially breaches its obligations and does not remedy the breach within 30 days of written notice, or if the other is declared bankrupt or granted a suspension of payments.
• On termination: your access ends, invoiced fees remain payable, and sections 6, 7, 8, 10, 11, 12 and 15 continue to apply.

14. Changes to these Terms

We may update these Terms. We will tell account holders about material changes by email or in the platform at least 30 days before they take effect. Changes required by law, or that only concern new features, may apply sooner. If you have a paid subscription and object to a material change, you may end the subscription before the change takes effect, and we will refund the prepaid fees for the remaining term. If you continue to use the Services after the effective date, you accept the updated Terms. The version and date at the top show which version applies; this version (October 2026) replaces the version dated November 2025.

15. General

• We may transfer our rights and obligations to a group company or to a successor of our business. You need our written consent to transfer yours.
• We may send notices to the email address of your account. You can send notices to support@shareloc.io.
• If a provision is invalid, the rest remains in force, and the invalid provision is replaced by a valid one that comes as close as possible to its purpose.
• If we do not enforce a right immediately, we do not waive it.
• These Terms, together with any Order and our Privacy Policy, form the entire agreement between us on the Services.
• These Terms are available in English and Dutch. If the versions conflict, the English version prevails.
• These Terms and any Order are governed by Dutch law. Disputes will be submitted exclusively to the competent court in Amsterdam, unless mandatory law provides otherwise.
